SEC issues guidelines for filing of GIS and extends deadline for filing of AFS

SEC extends deadline for corporations to file their GIS and AFS in light of COVID-19 and the community quarantine.

In a Notice dated 11 August 2020, the Securities and Exchange Commission ("SEC") has further adjusted the deadlines for filing the General Information Sheet ("GIS") and Audited Financial Statement ("AFS") of corporations due to the community quarantine.

A. Filing of GIS

B. FIling of AFS

Corporations will strictly follow the filing schedule below regardless of the last digit of the corporation's SEC registration or license number.

C. Modes of filings the GIS and AFS

Submissions to the SEC Main Office may be made only through courier or registered mail using the SEC Express Nationwide Submission ("SENS") facility as follows:

  1. Accomplish the application form at https://sens.secexpress.ph;
  2. Print the generated mailing label, along with the checklist and undertaking form;
  3. Bring the printouts and documents to any courier or Philippine Postal Corporation; and
  4. Pay the corresponding courier fees.

Corporations should submit 3 copies of each report or 4 copies if they wish to receive a return copy.

For corporations headquartered outside the NCR, they may submit the AFS and GIS to the nearest SEC Extension in person, subject to any travel restrictions and public health protocols in its area. Corporations may likewise submit through courier or registered mail without using the SENC facility.

D. Requesting a return copy of the filed GIS and AFS

Corporations may request for their return copies by including in their submissions prepaid return envelopes with stamps. No request for return copies may be processed on the same day.

Alternatively, they may request for plain or authenticated copies of their AFS , GIS and other documents through the SEC Express System at https://secexpress.ph 2 months after receipt.
